CONSTITUTION BYLAWS OF GRACE DECATUR CHURCH,INC.
ARTICLE -1
NAME AND LOCATION
THE NAME OF CHURCH IS GRACE DECATUR CHURCH LOCATED IN DEKALB COUNTY DECATUR GEORGIA

ARTICLE – 2
Section 1=General

The principal purpose of the Church is to glorify God by fulfilling five subordinate purposes summarized by the Great Commandment.

(Matthew 22:36-40) and the Great Commission =“Teacher, which is the great commandment in the Law?”37And he said to him, “You shall love the Lord your God with all your heart and with all your soul and with all your mind.38This is the great and first commandment.39And a second is like it: You shall love your neighbor as yourself.40On these two commandments depend all the Law and the Prophets.”

Section 2 =Worship

The Church exists to participate in public worship services together and to promote and maintain family and personal worship (John 4:24; God is spirit, and those who worship him must worship in spirit and truth.”

Hebrews 10:25; 25not neglecting to meet together, as is the habit of some, but encouraging one another, and all the more as you see the Day drawing near.

Section 3=Evangelism or Mission

The Church exists to communicate the Good News of Jesus Christ to as many people as possible in our community and throughout the world

(Matthew 28:18-20; And Jesus came and said to them, “All authority in heaven and on earth has been given to me.19Go therefore and make disciples of all nations, baptizing them in the name of the Father and of the Son and of the Holy Spirit,20teaching them to observe all that I have commanded you. And behold, I am with you always, to the end of the age.”

Acts 1:8; But you will receive power when the Holy Spirit has come upon you, and you will be my witnesses in Jerusalem and in all Judea and Samaria, and to the end of the earth.”

2 Peter 3:9). The Lord is not slow to fulfill his promise as some count slowness, but is patient toward you, not wishing that any should perish, but that all should reach repentance.

Section 4 =Discipleship

The Church exists to communicate the whole will of God as recorded in the Bible to promote the personal and communal spiritual growth of Christians, to teach Christians to obey all that Christ commanded, and to train Christians for effective ministry and service to our Church, our community, and our world

(Ephesians 4:11-13; And he gave the apostles, the prophets, the evangelists, the pastors and teachers,12to equip the saints for the work of ministry, for building up the body of Christ,13until we all attain to the unity of the faith and of the knowledge of the Son of God, to mature manhood, to the measure of the stature of the fullness of Christ,

Section 5 =Ministry or Service

The church exists to serve unselfishly to meet the physical, emotional, and spiritual needs of those in our Church, our community and our world.
(1 Peter 4:10-11; s each has received a gift, use it to serve one another, as good stewards of God's varied grace:11whoever speaks, as one who speaks oracles of God; whoever serves, as one who serves by the strength that God supplies—in order that in everything God may be glorified through Jesus Christ. To him belong glory and dominion forever and ever. Amen. Other verses

1 Thessalonians 5:11; , 11 Therefore encourage one another and build each other up, just as in fact you are doing.
11यसकारण एकले-अर्कोलाई प्रोत्‍साहन देओ, र एकले-अर्कोलाई दह्रिलो पार्ने काम गर, जस्‍तो तिमीहरू गर्दै पनि छौ।

Galatians 5:13; 13 You, my brothers and sisters, were called to be free. But do not use your freedom to indulge the flesh[a]; rather, serve one another humbly in love.
GAL 5:13,
13भाइ हो, तिमीहरू त स्‍वतन्‍त्रताको निम्‍ति बोलाइएका हौ। केवल त्‍यस स्‍वतन्‍त्रतालाई पापमय स्‍वभावको निम्‍ति प्रयोग नगर। तर प्रेममा तिमीहरू एक-अर्काको सेवक बन।

1 TIM 6:17-18, 17 Command those who are rich in this present world not to be arrogant nor to put their hope in wealth, which is so uncertain, but to put their hope in God, who richly provides us with everything for our enjoyment. 18 Command them to do good, to be rich in good deeds, and to be generous and willing to share.

Section 6 =Fellowship

The Church exists to share life together, to encourage, support, discipline, and pray for the Members of the Church, and to engage in Christian fellowship with members of the larger family of God in our community and around the world.

(1 John 1:7; But if we walk in the light, as he is in the light, we have fellowship with one another, and the blood of Jesus his Son cleanses us from all sin.
7तर उहाँ ज्‍योतिमा हुनुभएझैँ यदि हामी पनि ज्‍योतिमा हिँड्‌छौं भने, एक-अर्कासित हाम्रो सङ्गति हुन्‍छ, र उहाँका पुत्र येशूको रगतले हामीलाई सबै पापबाट शुद्ध पार्छ।

Acts 2:44-47; And all who believed were together and had all things in common.45And they were selling their possessions and belongings and distributing the proceeds to all, as any had need.46And day by day, attending the temple together and breaking bread in their homes, they received their food with glad and generous hearts,47praising God and having favor with all the people. Hebrews 10:23-25;
23 Let us hold unswervingly to the hope we profess, for he who promised is faithful. 24 And let us consider how we may spur one another on toward love and good deeds, 25 not giving up meeting together, as some are in the habit of doing, but encouraging one another—and all the more as you see the Day approaching.

Romans 15:5-7;
5 May the God who gives endurance and encouragement give you the same attitude of mind toward each other that Christ Jesus had, 6 so that with one mind and one voice you may glorify the God and Father of our Lord Jesus Christ.

7 Accept one another, then, just as Christ accepted you, in order to bring praise to God.

Matthew 18:15-17;
15 “If your brother or sister[b] sins,[c] go and point out their fault, just between the two of you. If they listen to you, you have won them over. 16 But if they will not listen, take one or two others along, so that ‘every matter may be established by the testimony of two or three witnesses.’[d] 17 If they still refuse to listen, tell it to the church; and if they refuse to listen even to the church, treat them as you would a pagan or a tax collector.

Galatians 6:1-2).
Brothers and sisters, if someone is caught in a sin, you who live by the Spirit should restore that person gently. But watch yourselves, or you also may be tempted. 2 Carry each other’s burdens, and in this way you will fulfill the law of Christ.

Statement of Faith :
We affirm the Holy Bible, in its original manuscripts, as the Word of God, truth without any mixture of error, and sole authority for all matters of our faith and practice. We commend the accuracy and reliability of the contemporary English translations, New American Standard Version and New International Version.

Section 3.02

The Baptist Faith and Message
We endorse The Baptist Faith and Message (2000) as a reliable expression of the Bible’s teaching on core Christian beliefs.

Section 3.03

Summary Statement of Faith

The Leadership Team shall maintain full power and authority to adopt, to amend, and to publish a Summary Statement of Faith for general distribution and use of the Members, so long as such a statement does not promote doctrinal positions that are inconsistent with The Baptist Faith and Message (2000). Until such time as the Leadership Team adopts another Summary Statement of Faith, the Summary Statement of Faith of the Church shall be the Statement of Faith of Grace Decatur Church.


Affiliation

Section 4.01 Church Autonomy and Voluntary Affiliation

The Church is autonomous and maintains the right to govern its own affairs, independent of any denominational control. Recognizing, however, the benefits of cooperation with other churches in the fulfillment of its purposes, the Church voluntarily affiliates with the Sample Baptist Association GABN , the Georgia Baptist Convention, and the Southern Baptist Convention.

Section 4.02 Tax-Exempt Status
As an affiliate of the Georgia Baptist Convention through the Sample Baptist Association, the Church shall maintain tax-exempt status under the Georgia Baptist Convention’s “blanket” group exemption ruling by the IRS, so long as such ruling remains valid and applicable to the Church. The group exemption number is 0591882 The exemption is granted under Internal Revenue Code 501(c)(3).

Membership

The Church shall have one class of Membership. Members of the Church shall consist of all persons who have met the minimum qualifications for Membership, have been approved for Membership by the Leadership Team, and are listed on the Active Membership Roll.

Section 5.02 Minimum Qualifications for Membership

A.  Member shall have made a statement of one’s personal repentance from sin and faith in our Lord Jesus Christ; and
B.  Member shall have been baptized by immersion following personal repentance from sin and faith in our Lord Jesus Christ; and
C.  Member shall have completed the Church’s membership class; and
D.  Member shall have made a commitment to abide by our Church’s Membership Covenant.

Section 5.06 Designation of Membership

In an effort to properly reflect Membership in the Church, the following membership roll shall be maintained:
Active Membership Roll: This roll shall list all members who reside within the Church’s ministry area and are currently active in the Church.

Section 5.07 Responsibilities of Membership
The responsibilities of Membership are described in the Membership Covenant.

Section 5.08  Rights of Membership

Every Member over the age of eighteen years shall be entitled to one  in the following matters:

A. Adoption of the annual budget of the Church.
B. Merger or dissolution of the Church.
C. Acquisition of real property and the related incurring of indebtedness.
D. Amendments to the Articles of Incorporation or the Bylaws of the Church.
E. The election of the Leadership Team.
F. The calling or removing of the Senior Pastor.


Section 5.09 Termination of Membership

Members shall be removed from the Church’s Active Membership Roll for the following reasons
A. Death.

B. Transfer of Membership to another church.

C. Inactivity in Church programs for a period of one year.

D. Movement of primary residency outside of the Church’s ministry area.

E. By personal request of the Member.

F. Dismissal by the Leadership Team according to the following conditions.

1. The Member’s life and conduct are not in accordance with the Membership Covenant in such a way that the member hinders the ministry influence of the Church in the community.

2. The procedure for dismissal shall be according to Matthew 18:15-17.
“If your brother sins against you, go and tell him his fault, between you and him alone. If he listens to you, you have gained your brother.16But if he does not listen, take one or two others along with you, that every charge may be established by the evidence of two or three witnesses.17If he refuses to listen to them, tell it to the church. And if he refuses to listen even to the church, let him be to you as a Gentile and a tax collector

Section 5.10 Restoration of Members

Members dismissed by the Leadership Team shall be restored by the Leadership Team in accordance with the spirit of 2 Corinthians 2:7-8, when their life-styles are adjudged by the Leadership Team to be in accordance with the Membership Covenant.

7तर बरु तिमीहरूले त्‍यसलाई क्षमा गर्नु र सान्‍त्‍वना दिनुपर्छ, नत्रता त्‍यो ज्‍यादै शोकमा डुबिजाला। 8यसकारण म तिमीहरूलाई अनुरोध गर्दछु, कि त्‍यस व्‍यक्तिप्रति आफ्‍नो प्रेम अझ गहिरो पार।

Section 5.11 Records of Members Removed from the Active Membership Roll

Members removed from the Active Membership Roll according to the provisions of these Bylaws shall be recorded on an Inactive Roll for a minimum of one year following removal to facilitate restoration to the Church or transfer of Membership to another church.

ARTICLE VI
Meetings of Members
Section 6.02 Annual Membership Meeting
A general business meeting of the Members shall be held each year at such time as determined by the Leadership Team. This general business meeting shall be the Annual Membership Meeting. The purpose of the Annual Membership Meeting shall be to adopt an annual budget, to elect the Leadership Team, and to conduct any other proper business subject , and yearly program Mission.

Section 6.03 Special Meetings

The Leadership Team or the Senior Pastor may call special meetings at any time for any purpose

Section 6.04 Notice Requirements for Membership Meetings

A. General Requirements. Written or printed notice stating the place, day and hour of the Annual Membership Meeting and, in case of a special meeting, the purpose or purposes for which the meeting is called, shall be delivered not less than ten (10) nor more than fifty (50) days before the date of the meeting, either personally or by mail, by or at the direction of the Senior Pastor, or the Administrative Officer, or the Leadership Team, to each Member identified on the Active Membership Roll. If mailed, such notice shall be deemed to be delivered when deposited in the United States mail addressed to the Member at his or her address as it appears on the Active Membership Roll, with postage thereon prepaid.
B. Specific Requirement for Notification of Senior Pastor. Notice stating the place, day, hour and purpose of any meeting at which Members are required or permitted to take any action, shall be given in person or by person-to-person telephone conversation to the Senior Pastor no less than (15) days nor more than fifty (50) days prior to such meeting.

ARTICLE IX

Financial Advisory Team

Section 9.01 Number and Term

The authorized number of members of the Financial Advisory Team shall be, until changed by amendment of the Articles of Incorporation or by a Bylaw duly adopted by the Members, such number as may from time to time be authorized by resolution of the Leadership Team, provided that such number shall not be less than three (3). The Financial Advisory Team shall consist of the Secretary/Treasurer of the Church and such number of additional members as may, from time to time, be nominated and elected in accordance with

Section 7.03 of this Article. Each member of the Financial Advisory Team may serve successive one year terms and shall hold office until a successor has been designated and qualified or until earlier resignation or removal.

Section 9.02 Qualifications

The Leadership Team, with the advice and consent of the Senior Pastor, may adopt, amend, and repeal resolutions establishing minimum qualifications for members of the Financial Advisory Team.


The Financial Advisory Team shall have the following duties:

A. The Financial Advisory Team shall maintain financial records and shall provide financial reports to the Leadership Team at such times and intervals as may, from time to time, be authorized by resolution of the Leadership Team.

B. The Financial Advisory Team shall provide financial counsel to the Leadership Team at the discretion of the Leadership Team.

D. The Financial Advisory Team shall be responsible for counting public offerings of financial contributions, depositing the funds in the Church’s primary checking account, and providing a weekly accounting of deposited funds to the Leadership Team.

E. The Financial Advisory Team shall conduct such other duties and activities as the Leadership Team may designate from time to time.

Section 9.03 No Compensation

Financial Advisory Team members shall not receive salaries or compensation for their services on the Financial Advisory Team. A Financial Advisory Team member may serve the Church in any other capacity and receive reasonable compensation for those activities.

Section 9.04 Nomination and Election

The Leadership Team shall nominate and elect persons to serve on the Financial Advisory Team. The Leadership Team may appoint a Nomination Advisory Committee to report to the Leadership Team regarding suitable nominees. The Leadership Team may also entertain recommendations from the Members regarding suitable nominees.

ARTICLE X

Officers

Section 10.01 Officers

The officers of the Church shall be a Senior Pastor, the Senior Pastoral Advisor, and the Administrative Officer. The Senior Pastor shall serve as the President of the Church and shall act as the moderator of the Church. The Senior Pastoral Advisor shall serve as the Vice President of the Church and shall act as the moderator of the Church in the absence of the Senior Pastor. The Administrative Officer shall serve concurrently as both the Secretary and the Treasurer of the Church and shall act as moderator in the absence of both the Senior Pastor and the Senior Pastoral Advisor. The Senior Pastor may not serve concurrently as the Administrative Officer of the Church.

Section 10.02 Senior Pastor—President of the Church

The Senior Pastor shall be responsible for leading the Church to fulfill the purposes of the Church. The Senior Pastor shall be empowered to control and to supervise the day-to-day ministries and business of the Church subject to the powers expressly reserved for the Members of the Church and the Leadership Team, and subject to the limitations of law, the Georgia Nonprofit Corporation Act, and these Bylaws. The Senior Pastor shall supervise, directly or by delegation, all employees of the Church, and may delegate to them any and all duties and responsibilities he deems reasonable, subject to the rights, if any, of a person under contract of employment

Section 10.03 Senior Pastoral Advisor—Vice President of the Church

The Senior Pastoral Advisor shall perform the duties of the Senior Pastor when the Senior Pastor is absent or is unable to act. When the Senior Pastoral Advisor acts in place of the Senior Pastor, the Senior Pastoral Advisor shall have all the powers of and be subject to all the limitations upon the Senior Pastor. The Senior Pastoral Advisor shall perform other such duties as assigned by the Senior Pastor, or in the event of the Senior Pastor’s absence or inability to act, the Leadership Team.
Section 10.04 Administrative Officer—Secretary and Treasurer of the Church

The Administrative Officer shall have charge and custody of and be responsible for all funds and securities of the Church. The Administrative Officer shall see that membership, contribution, and financial records are kept in accordance with law, IRS requirements, and the stipulations of these Bylaws. The Administrative Officer shall see that all meetings of the Membership and the Leadership Team are duly noticed and called and that minutes of Membership and Leadership Team meetings are taken and that all corporate records and the seal of the Church are kept in a secure location. The Administrative Officer shall perform other such duties as assigned by the Senior Pastor or, in the event of the Senior Pastor’s absence or inability to act, the Leadership Team.

Section 10.06 Removal of Officers
The Senior Pastor may only be removed, with or without cause, by the Members at any regular or special Membership meeting. Subject to the rights, if any, of an officer under any contract of employment, all other officers may be removed, with or without cause, by the Leadership Team, at any regular or special meeting of the Leadership Team.

ARTICLE XIII

Records and Reports

The Church shall maintain the following records and reports:

A. Adequate and correct books and records of accounts (financial records)); and

B. Written minutes of the proceedings of its Members and Leadership Team; and

C. A record of the members of the Church, setting forth the members’ names and addresses; and

D. Individual financial contribution statements that conform to IRS requirements.

All such records shall be kept at the Church’s principal office.

ARTICLE XIII

Records and Reports

The Church shall maintain the following records and reports:

A. Adequate and correct books and records of accounts (financial records)); and

B. Written minutes of the proceedings of its Members and Leadership Team; and

C. A record of the members of the Church, setting forth the members’ names and addresses; and

D. Individual financial contribution statements that conform to IRS requirements.

All such records shall be kept at the Church’s principal office.

ARTICLE XV

Amendments to the Bylaws

These Bylaws or any provision of them may be altered, amended, or repealed, and new Bylaws may be adopted by vote of two-thirds of the active members present at any special or regular Membership meeting at which a quorum is present.
